The United States is one of the most important economic markets for the middle class and a presence in the American market is of utmost importance for any international company. In addition, mergers and acquisitions (M&A) in the United States are currently of great interest to German companies. This is due to the favorable tax laws in the United States and also a result of the current changes in Europe caused by Brexit. It is important that German companies comply with all relevant laws in the US. This raises the question of whether and to what extent SMEs should follow and implement US compliance guidelines. Another topic is the implementation of digital compliance. Finally, the consequences of government investigations against SMEs in the United States due to lack of financial resources are often more serious than for large enterprises.
Society and the judicial system expect German companies operating in the United States to comply with all U.S. laws. German companies cannot expect any exceptional treatment from the US authorities as a result of violations of compliance procedures. However, any measures that SMEs decide to implement must be commensurate with each company's actual risks, size and industry.
